Documents Needed to Set Up a UK Company
Editor’s note: Originally published on 3 January 2023; this article reflects information available at that time, and rules may since have changed.
Most international founders use a private company limited by shares. You can usually complete the incorporation without travelling to the UK, but accurate identity, address and ownership information is essential.
Proof of identity
A valid passport is commonly requested. Depending on the applicant and provider, another government-issued photo ID may be accepted. Banks and payment platforms can impose their own stricter requirements.
Proof of residential address
This may be a recent utility bill, bank statement, government letter or another reliable document showing the person’s name and current home address. Documents not in English may need an acceptable translation.
Company information
- Proposed company name and business activity
- Director, shareholder and person-with-significant-control details
- Share structure and the company’s constitutional documents
- An appropriate UK registered office address
After incorporation
Companies House issues a certificate of incorporation and company number. Important authentication or tax correspondence may be sent to the registered office, so mail must be monitored and access codes kept secure.
Opening a bank or payment account is a separate process and usually requires further checks about the owners, source of funds and planned activity.
